1. Agreement and dealer eligibility
These Terms form a binding agreement between Deal Drop Direct and the dealership and individual accepting them. The platform is business-to-business and available only to licensed motor-vehicle dealers and their authorized personnel who are at least 18. You represent that all information is accurate, that the license is current and valid, and that you have authority to bind the dealership.
- Accounts may be denied, suspended, or reverified at any time for expired, inconsistent, incomplete, fraudulent, or legally insufficient credentials.
- Verification may include dealer license, identity, business, tax, payment, address, and authorization checks. Approval is not guaranteed.
- Credentials may not be shared outside an approved dealership team. The dealership is responsible for all activity under its accounts.
2. Auction listings and AS-IS sales
Listings may include VIN-decoded data, photos, condition notes, title status, mileage, and other seller-supplied information. Dealers must independently evaluate each vehicle. Unless expressly stated in writing, every vehicle is offered wholesale AS-IS, WHERE-IS, WITH ALL FAULTS, without warranties of merchantability, fitness, condition, history, or future performance to the fullest extent permitted by law.
3. Bidding, auto-bidding, Buy Now, and watchlists
A submitted manual bid, automatic bid, or Buy Now acceptance is a binding offer. Deal Drop Direct may reject, reverse, or correct activity affected by error, fraud, outage, collusion, or listing cancellation.
- Bids must meet the displayed minimum and increment. Auctions may use a two-minute anti-sniping extension after qualifying late bids.
- Auto-bidding uses the dealer’s private maximum and bids only as needed, ordinarily in the listed increment (default $100). Competing maxima may trigger an immediate cascade; priority may resolve equal maxima. A displayed current bid is not a guarantee that another maximum is absent.
- Watchlists are a convenience only. Notifications may be delayed or fail, and saving a vehicle does not reserve it or replace monitoring the auction.
- Buy Now ends bidding when successfully accepted and processed. A dealer remains responsible for confirming the final status shown by the platform.
4. Deposits, premiums, and volume pricing
A refundable $200 bid deposit may be required before bidding. It may be released when no purchase obligation is created, refunded after satisfactory completion, or applied to the amount due. It may be forfeited after default, nonpayment, failure to collect, chargeback abuse, fraud, or other material breach, subject to law and the Refund Policy.
- Non-member buyer premium: $299 per completed vehicle purchase.
- Member premium: $99 per purchase for monthly team volume of 1-4; $89 for 5-9; $79 for 10-19; and $69 for 20 or more.
- Eligible purchases by approved members of the same dealership team share volume. Counts and tier timing are determined by completed transactions recorded by the platform.
- The buyer premium becomes non-refundable once the vehicle purchase is completed, except where required by law or expressly approved in writing.
5. Membership subscriptions and trials
Monthly membership is $499 per month and yearly membership is $4,990 per year. Eligible dealerships may receive a 14-day trial. Unless canceled before the trial ends, the selected paid plan begins automatically. Subscriptions renew until canceled, and vehicle charges, deposits, and buyer premiums are separate.
- Cancellation normally takes effect at the end of the current paid term. Pro-rated refunds are governed by the Refund Policy and are not automatic.
- An eligible yearly member may use one protected downgrade to a locked $415.83 monthly rate. Protection requires continuous good standing and may end after cancellation, failed payment, abuse, or loss of eligibility.
- Prices, features, and future renewal terms may change with advance notice required by law; changes do not retroactively alter completed transactions.
6. Team accounts
A dealership team consists of one primary account and up to four invited team members. The primary account controls invitations, removal, membership, and billing. All members must be authorized by the same dealership, and the dealership is jointly responsible for their activity, bids, purchases, and compliance. Removing a member does not cancel obligations created before removal.
7. Referral program
Each eligible account may receive a referral code. Three qualified referrals earn one free membership month. A qualified referral must be a new, independent dealership that uses the referral link or code, completes verification, and satisfies the paid-membership conditions displayed by the program. Self-referrals, duplicate businesses, fabricated accounts, collusion, refunded or charged-back subscriptions, and misleading promotion do not qualify. Rewards have no cash value, are non-transferable, and may be withheld or reversed for abuse.
8. Winner obligations and payment
The auction winner must promptly pay the winning price, buyer premium, taxes, title or processing charges, transport costs, and any other disclosed amount by the stated deadline; provide requested documents; and collect or arrange transport within the stated window. Risk, title transfer, and release are subject to cleared funds and applicable documents. Failure may result in deposit forfeiture, resale, collection costs, suspension, termination, and liability for losses or price deficiency.
9. Prohibited conduct
You may not manipulate auctions; use shill bids; collude; scrape or reverse engineer the service; interfere with security; use bots except approved auto-bidding; submit false information; impersonate another party; evade fees; abuse referrals, deposits, disputes, or chargebacks; upload unlawful or malicious content; violate export, sanctions, dealer, tax, title, privacy, or consumer-protection laws; or use the platform outside legitimate dealership business.
10. Disputes and chargebacks
Contact support first with the auction ID, date, amount, and supporting evidence. The parties will attempt good-faith informal resolution for 30 days. Unless prohibited by law, unresolved disputes will be resolved by binding individual arbitration in Maryland under applicable arbitration rules; class, consolidated, and representative proceedings are waived. Either party may seek eligible relief in small-claims court or injunctive relief for misuse of intellectual property or systems. Maryland law governs without regard to conflict rules.
11. Limitation of liability
To the fullest extent permitted by law, Deal Drop Direct and its affiliates, personnel, and providers are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profit, use, data, goodwill, inventory value, or opportunity; vehicle defects; third-party conduct; transport; or interrupted notifications or service. Aggregate liability for a claim will not exceed the greater of fees paid to Deal Drop Direct by the claimant in the three months preceding the event or $500. These limits do not exclude liability that cannot legally be limited.
12. Suspension, termination, and changes
Deal Drop Direct may investigate, limit, suspend, or terminate access; remove listings; cancel auctions; hold funds; or require additional verification for breach, risk, legal demand, inactivity, or protection of users and the platform. Users may stop using the service and cancel renewal, but existing payment, transaction, confidentiality, dispute, and liability obligations survive. We may update these Terms with notice appropriate to the change; continued use after the effective date accepts the revised Terms.
